Hi sifu, I inherited a sdn bhd that has an appointed secretary and accountant company. I am still figuring out how to manage the company. What is the role of the secretary and what filing do they do all the time? What are the things they need to file with the gov?

Business Failure

Trading/Distributing Oil Lubricant

Capital : less than 10k
Partner : 2
Location : -
Monthly/Daily Income : RM400 - RM1k per month
Opinion :
1. Spend too much on promoting the product. (Product that does not advertise)
2. Fail on price negotiation with supplier on huge purchases. (profit margin remains)
3. Supplier increases the price of the product even though world price for crude oil fall (Decreasing the profit)
4. Order stock today, supplier deliver to me whenever he is free. No specific arrival time & date

Work on for few months, still rugi approximately RM5k, including web & brochure design & set up, printing of brochure and name cards. Discussed with my partner, decided not to continue due to the bad attitude of the supplier.

First failure & I am not giving up biggrin.gif biggrin.gif

Getting complaints that I am selling too high. No specific RRP and price control is really a big big issue.
At first I was thinking that I can create RRP by mass promoting, but I am so wrong.

I have lot more to learn....

Can't. Manufacturer limit to one supplier in countries. Example, Malaysia, Thai, Philippine and Indonesia only a sole distributor. I guess to protect the distributor's benefit? I think...

Contact directly the manufacturer. State that the supplier is not reliable in distributing their products. But surely need more capital.

Company secretary -

Handles your AGM, statutory filing with SSM and your AGM resolutions and etc. ( When want to purchase FA, dispose or etc )

They have more function than this but those are the more common usage.

Sdn. Bhd. likely require yearly audit, so that's where your accountant company will come into play.

Hope you get the rough picture.

I am considering this product because of the engineering of it that impressed me. There is similar substitute, but it is overpriced due to branding. So, I guess I will be out of the industry for now..

They don't even want to bother with my enquiries. They contacted the supplier, and eventually the supplier replied my email.
The only way is to contact the other manufacturer (the owner's brother) in the west. But the minimum quota for purchasing is more than a million ringgit (No capital). Even if I have the money/investors, it is impossible to sell even one third of the product in the entire Malaysia, unless I market in other countries too.

And the most important thing is....I AM NEW AND I AM TRYING haha. I will start from small, and gain more experience before getting things too serious, right? haha
