DiGi-TDC merger set to become a reality

Tie-up will see celco gaining access to 3G spectrum

PETALING JAYA: The much speculated tie-up between DiGi.Com Bhd and Time dotCom Bhd (TDC) is set to materialise with DiGi acquiring newer market segments and the latter getting a new lease of life.

Details on the tie-up are kept under wraps but the merger is likely to address the shareholding issue in DiGi of its parent, Norwegian Telenor ASA, which has till year-end to reduce its shareholding in DiGi from 61% to 49%.

What stake Khazanah Nasional Bhd will eventually hold after the merger is not clear even though it now has nearly 65% equity stake in TDC. Khazanah had in the past made it clear that it wanted to restructure TDC by year-end.

But what is clear, according to sources, is that the merger will see DiGi gaining access to the much needed 3G spectrum that it was denied in the last 3G bidding exercise.

DiGi in a statement to Bursa Malaysia at noon yesterday requested that trading of its shares be suspended till end of trading today.

It said it would be making a "material announcement relating to a corporate exercise involving DiGi and TDC which may result in certain percentage ratios calculated in accordance with Chapter 10 of the listing requirements of Bursa Malaysia, equal to or exceeding 25%."

TDC in a statement to Bursa said DiGi would be making the announcement. Those in the know claim that several announcements can be expected beginning tomorrow but this could not be verified at press time.

After months of speculation of a DiGi-TDC merger that both parties vehemently denied, the tie-up could soon be a reality.

This bodes well for Malaysia's telecoms sector as DiGi has proven to be a very aggressive player and a trendsetter in the mobile sector.

Given that TDC has a vast fibre optic network that is virtually un-used, the partnership offers new hope of more competition in the fixed and wireless broadband sectors.

"Competition is much needed in the broadband sector to drive prices down and improve on quality of service and given DiGi's success in revolutionising the cellular sector, it would be no surprise that the broadband sector is headed for some exciting times," said an analyst.

Analysts see DiGi in a "competitive disadvantaged position in the longer term due to its lack of a 3G spectrum" but the tie-up would definitely change this, allowing the once smallish celco to offer a multitude of new offerings it was unable to in the past.

DiGi chief executive officer Morten Lundal hadpreviously said the company "would prefer a 3G spectrum ... more spectrum would allow us to plan our network more efficiently."

"We would also like to have broadband spectrum. Given the headway we've made in the mobile sector, DiGi's entry in broadband market will drive competition and expansion, which I think consumers would applaud and the Government would appreciate, since broadband growth is seen as important by all," he added.

DiGi shares fell 80 sen to RM23.60 while TDC lost 2.5 sen to 87 sen. Time Engineering Bhd, which owns 33% in TDC, fell 13 sen to 78 sen yesterday.

DiGi offers RM700mil for TDC's 3G spectrum

Pact for proposed alliance expected to be signed today

PETALING JAYA: DiGi.Com Bhd has proposed to pay nearly RM700mil in cash and shares to buy Time dotCom Bhd's (TDC) 3G spectrum, a bandwidth which will turn this once smallish celco into an equally competitive player against its two rivals.

Besides that, DiGi's parent, Telenor ASA, has invited TDC to take part in the placement of DiGi shares to comply with the equity stake sell-down required of the Norwegian company by the Government.

This would be carried out via a book-building process, TDC said in a statement to Bursa Malaysia. Telenor has to sell 12% in DiGi to bring its current shareholding of 61% to 49% by year-end.

In a separate statement to Bursa, DiGi said it had extended an offer to TDC to enter into a heads of agreement, expected to be signed today, for a proposed alliance.

The alliance, among other things, involves DiGi issuing 27.5 million shares, equivalent to 3.5% stake in the company, valued at RM654mil, or RM23.80 a share, to TDC for the transfer of the 1965Mhz-1980Mhz, 2155Mhz-2170Mhz and 2010-2015Mhz or the IMT2000 3G spectrum that is valid till 2018.

DiGi would also issue a guarantee to the Malaysian Communications and Multimedia Commission in place of TDC unit TT dotCom's guarantee of RM50mil. TT dotCom was assigned the 3G spectrum last November by the Government along with MiTV Corp Bhd - the two winners of the last two 3G spectrum. DiGi then failed to win the spectrum.

Telekom Malaysia Bhd and Maxis Communications Bhd also have 3G spectrum.

Under the proposed alliance, DiGi also wants to review its international and domestic fibre leases and contracts with TDC so that its usage of the services totals between RM10mil and RM15mil a year for a three-year period.

DiGi would also explore ways to share telecommunications towers with TDC for the purpose of TDC's broadband service in the 2.5G spectrum band or WiMAX. Both parties would explore joint development of fixed mobile solutions packages and training in the WiMAX area.

DiGi said the proposed alliance aimed to allow both parties to collaborate for the purpose of consolidating their respective strengths in the telecoms market and to explore additional areas of cooperation with the objective of enhancing values of their respective businesses.

There is no denying that without a 3G spectrum, DiGi's long-term future is dim but that should change once the spectrum assignment is completed in due time. The parties are expected to enter into definitive agreements within 75 days.

For now, analysts said both parties are winners in different ways. DiGi gets the access to a bandwidth, which is a rare commodity, and that will give it access to new markets and earnings.

As for TDC, it will hopefully be able to move from its lethargic image to become a sizeable player in the broadband arena, riding on its fibre optic network, and tapping into the expertise and experience of DiGi and Telenor.

But these announcements are not the end of the whole DiGi-TDC tie-up plan. Analysts are expecting more announcements in the coming days, and they have their own scenarios, one of which should see Khazanah Nasional Bhd - which has nearly 65% share in TDC - ending up with some stake in DiGi.

Talktime Transfer surcharge will be revised from RM0.15 to RM0.25 (for each transferor and transferee) which will be in effect from 15th November 2007 onwards!

If I'm not mistaken, once you changed the plan, your FnF list will be reset. Perhaps you'll be entitled for filling your FnF list free for the first 6 times. Not sure of this.

Yes, before the cap, you can reload as much as you could and I don't think that there's a maximum cap like Hotlink with RM 1000 cap.
