Hi, I would like is there any agent around in Klang Valley providing service to help client to register company under SSM? My case is I would like to register a bumiputra company under SSM or MOF but I don't know the procedure and I would like to ask an agent to do the job for me...

any recommendation on agent?? Experienced person especially had been in this line or have agency contact only reply in this topic....

or if u have idea...just tell me... wink.gif

just go to ssm at the mall.. the other companies will ask you to register with them but ssm offer the best price..1 day can do finish.

there are companies around the SSM and even 1 floor above the SSM that help in business registration.

Agree, just be careful with the 'ulat'. Lots of ulat last time I went there. Maybe find a shop that appears more professional. smile.gif

Registration can even done online, but you can also do it through the physical office somewhere in Sentul.

Admittedly and IMHO, the website doesn't look that appealing, but I'd worked with this guy on company registration before. My, his service and attitude is first-class. Mr.Rustum, his name, will unobligedly give you a lot, and I mean a lot of useful information. wink.gif

amigo, if you're registering a Sdn Bhd - there will be no problemo going through Secretarial Companies/agents.

For a self proprietory however, the SSM has a new ruling effective April 2007 and you can't go through agents anymore until further notice.

Anyone know how much to register a SDN BHD if I do it myself or through runner?
If you know how to register by ourselves, please write down the steps by steps guide. The SSM office is always crowded with runners...
anyway, my sole proprieter has expired for more than 1 year.
Know how much to renew it?

sdn bhd got more priveledge than partnership for your information... heard of smtg called limited liability and separate legal entity smile.gif

for a sdn bhd company, shareholders liability will only be limited to the share capital smile.gif isnt this good ??? as compared to sole proprieter, u urself will be exposed to all the liability... some explanation in short

First off, sdn bhd you'll need some money. If not mistaken, every share holder will have to submit their financial statement, draft out a document stating the percentage of ownership of each shareholder, than every end of the year need to submit an audit report to the company registra which costs upwards of 2k+.

registering a company for cybercafe business is not banned..

just obtaining the licence from local authority / council (PBT - Pihak Berkuasa Tempatan) do vary in term of banning status for every local council.. smile.gif

yeah...if u're not intend to go big yet in the years to come..then maybe u can try stay with the sole proprietor @ enterprise company..

yes, opening up a sdn.bhd. company do gives more privileges than enterprise...but u've to prepare some extra fees yearly for all the administrative / financial stuffs..

roughly yearly fees :

1) company secretarial fees : RM 300++

2) yearly financial account preparation by Audit Firm (if u have no accountant in ur company : RM 1800 ~~ RM 3000++ for small sdn.bhd.

3) account auditing fees : RM 600++

4) tax auditing fees : RM 300++

u can seek advice from some local audit firm. they can help u to register S/B and tell u in detail on what need to be done...

yeah. got some charge. i just closed some enterprise that already inactive recently.

but it's not at the same place where you register, this one have to go up donno 11 or 13 floor or whatever - the people at SSM (the registration area) will tell you where to go.

To set up a sdn bhd, you just need to get the help of a company secretary. He/She will do everything for you.

To renew sole proprietor license, either go to CCM yourself or ask a runner to do it for you. Some company secretary did help customer to renew sole proprietor license.

Sdn Bhd has a lot tax advantages if compared to sole proprietor/partnerships.
Of course if the sales volume is not high, then it is better not to form a sdn bhd.

According to the Panduan Pendaftaran,
To register for a new company, first we need to have our company name approved.

So if im going to SSM, the first visit is to apply for company name, then when it is approve, the second visit will be to register the company ?
How long will the company name approval takes?
Can I settle everything on one visit ?

i just went to SSM today evening. once i reached there, outside have lotsa agent standing even there are registration Co around the shop. so i asked one of them how much to register enterprise. they straight answered me RM150 inclusive everything. my friend last time registered thru Hero Venture..also an agent, they charged RM300. Mine need about one week to process, need to get prior Co name approval then will proceed to registration.

YES!

in fact now the system has improved a lot.

last time after you register, you have to come back a week or 2 later to pickup the certification.

nowadays, they give that to you on the spot. smile.gif

visit SSM at THE MALL at 2 floor.

get FORM PNA.42 and fill in the form with 3 company name depend on u

get the number and past it at counter 8

wait 10-20 min to get approve of the company name

if the name approve,then u have to fill in the FORM A will the approval company name

get number again and wait again

then pay rm70 for 1 year license...the most can pay up to 4 years

then get the receipt and wait 1 hour to get the certificate at counter 7

all can be done within 2 hour...........

whichever address you're using for business la. if home then home lor. no problem.

but remember guys, unless you're damn lazy and damn rich - please don't go through agent.

the instructions are clear. got mouth to ask - so learn to use it!

filling the forms for company name checking and registration is easier than doing standard 3 examination papers.

hehe. why spend RM 50 - 150 or whatever unnecessarily? smile.gif

cos registering enteprise, getting borang also same amount of time.

then you waste time by having to tell the guy whatever he needs, which you could read and write on your own by referring to the examples on the notice board.

registration with house address no problem wan la.

Will be going down to SSM (KL, The Mall) later...wanna open up an enterprise..
so what is the minimum amount of money i shud prepare?

EDIT : if lets say, i register my company address as my home address. Then the same goes to my business license...
when i find a new place as my business centre edi...i need to change those addresses...is it possible to do so? surcharge?

One more thing, if I'm not mistaken, after you have applied for your business name and got it approved, there is a time limit for you to start your business. Otherwise, your approved company name maybe tarik balik. I think it's one month.

Anyone correct me if I'm wrong.

by the time it approved meaning that you already paid for the rental name..how possible they going to track down whether u open your business or not..zz doesnt make sense!

1. yes. in fact usually they want to read your past business portfolio before allowing you to join their franchise.

2. if u're rich enough to join a franchise, u wouldn't want to stay an enterprise because sdn. bhd enjoys more benefits compare to sole proprietor business.

I read this pdf from SSM website . It's under the Guidelines for application for a business name in the left side column.

I quote here from the pdf:

You can register it yourself for sole proprietor's. As for Sdn Bhd application, most people went for agents.

what they means is, after the name is approved, u need to register the company. The name will be reserved for 3 month. If u didn't register within the period, they will remove it from the reserved list. wink.gif

For added credibility, register under sole-prop.
It also helps in expanding your business in the future, even if its a SOHO.

But its not a must. The government will be glad that you register so they can tax you and feed their fat ministers.

Just a small word of advice, if you go through agent, make sure you do not pay anything more than RM150 to RM180 max for sole proprietor.

I have come across some agents who charge more than RM200 even!

If in KL, SSM would be at the Mall, opposite PWTC

for sole prop, all you need it you dewan bandaraya kuching to apply the business licence... sabah & sarawak kinda different... if for west m'sia they still need to register under the registrar of business but then if in sabah & sarawak, all you need is obtain business licence at the local council... trading licence i mean....

the cost not really expensive... i guess less than RM100... you better have your office first cuz maybe DBKU need inspection... i mean some area according to the address... then you better have your office first before applying trading licence....

I've just registered a sdn. bhd. company tru agent recently. afaik you need a registered secretary to complete limited company registration.
enterprise company doesn't need a secretary.

im planning to open a dessert kiosk together with my 4 friends...all 5 of us will be partners...the problem is, all 4 of them are not malaysians...if im not mistaken, the local shareholder must have at least 50% of shares...therefore im thinking of having 60% of shares while the balance shares of 40% be divided equally among 4 of them..10% each

we're planning to just register it under enterprise...what documents do i need to register them?...do i need to state the business we're conducting = food....we're planning to register the company soon, and open up the kiosk in june...someone said that we need to set up our office first because they will come to inspect...the problem is, its just a kiosk...we won't have an office...maybe we'll use our home address...are they going to inspect our home?

But yours is a partnership business not private limited company. Foreigners can own 100% sole proprietor or partnership business if I am not mistaken.

If you think you no longer need it, you may close it. You need to go to the Registrar to fill up a form and also inform IRB about it.

There is no such thing like register a partnership under enterprise. You either register a business under sole proprietorship/ partnership or private limited or limited company.

actually registering fee is very cheap only. around RM1k can oredi if u do it by yourself. RM2k-2.5k is because Secretary do it for u. RM2k-2.5k Secretary got untung from u oredi one.

To register a Sdn Bhd, you will definitely need to go through company secretary. It's a law under Company Act. The fee is around RM2K-2.5K for company formation.

Questions about set up a new enterprise business. The business is retail business, selling some gifts. The location of business is not a shop, is a serviced office.

The procedures:
1. Register in SSM
2. Look for the location and get tenancy agreement
3. Apply license from kerajaan tempatan (Eg: DBKL)

Question 1 : The procedures is it correct ?

Question 2: Will any organization(Eg: SSM people, DBKL people, or any government people) come to visit the new enterprise to check somethings ? Let say check the license, computer got pirate software or not, or etc ?

HI all,

I have registered my business enterprise in SSM and got my tenancy agreement signed on last week. I will go to the LHPN for the TA stamping this friday before applying for the MPPP trading license.

My question is how do we sketch the floor plan & premise plan as requested in the Borang B (Borang Komposit)?

Anyone got the sample of authorisation letter if we get the agent to apply this trading license onbehalf on us?

Register a business is where during register the company...u need to write down your company nature ( wat business are you doing)

For TS ( If still here) u just go the mall and will have alot agent serve you. But i think u can do it without agent if u know bahasa MALAYu

4. add those links to your account for quick access.
5. fill up form and click Finish in form and Submit outside form.

You may need to submit a few names to get an approval for your name. So use the links you added.

www.ssm.com.my is for retrieving business registration information and search for available names only.

Few hours should get response during working hours.
I don't really care, as long as don't have to go all the way to their office.

The card? Again it's online, they will email you a PDF file after you approve, apply and pay.

Registered my business and just to note down for others that they don't allow domain name as business name. They rejected 4 of my business names vmad.gif
And credit card payment is allowed.

You can register one easily and SSM office at The Mall.

Sole proprietor business name can be your full name, RM30/year, or your business name, RM60/year.

Just check with the SSM office people.

VVVV is against the law. Both the Accountant Act and ROB rules. Only chartered accountant is allowed to provide such services.

There are a couple of stock valuation method in accordance to accounting standards. It may be complicated to you since you are not an accountant. Why not you should seek for advice from a qualified accountant either friends / pay for it. I advice you better don't simply trust a person who claim themselve as an accountant as they may not be. Also not recommend for friends because I believe you don't want to share your biz secret with friends. Let me know if you need a reference or contact number.

Mmm my problem here is not about stock valuation but the matter of how to transfer my personal stock to become company's stock.

I need receipts to proof I bought the stocks right? But isn't it funny if I issue receipt under my own name to my own company?

My firm only provide services to PLC / larger companies. Also, It is inappropriate to advice the charges over the internet due to restriction from Accountant By-Law. Only unqualified accountant with low / no quality will do that. You should provide the info re size and operation of your company before ask for quotation. There are couple of accounting / office consulting firm who can manage these matter for you. e.g. http://www.nexgeneration.com.my

Q whether can you meet the deadline is depend on how well did you manage the books and records, and the volume of the transactions. Of coz some ppl willing to pay more if they want their stuff to be cleared earlier.

From what i understand is that under Enterprise, its a one man show. Useful if you're running a small business, say like freelancing photography and you both share the same bank account basically. Whatever money you make from the enterprise is basically your salary.

And under Sdn. Bhd, its a company which needs a secretary and auditor/accountant in order to be formed. Useful for companies which wanna play big, like trading, selling cars....etc~ Your bank account and company bank account is separated and you cant touch the company money (although your the CEO/Registered under your name) except through company claims, like petrol...etc, and you get a salary from company which is deducted from the company bank account and into your personal bank account.

am i dead wrong so far?




Here's my scenario:
im planning to start up a business, but i wanna register the name first so that others cant get it. but i only plan to actually use this name in the next few months to a year once i get the ground work laid out. for easier understanding, lets say i wanna register the name "Hello World".

so, should i:
A) Register the name under a Sdn Bhd?
B) Register the name under Enterprise (sole proprietor)

However, if i were to chose option B, and say some years down the road and business goes well, i wanna "upgrade" the sole proprietorship to Sdn Bhd.? is this possible? And, say while i own "Hello World Enterprise", can someone else register the same name "Hello World", but as a Sdn Bhd? can they do that?

Enterprise doesn't mean sole proprietorship only. Partnership also can register as Enterprise.

Register a business is like applying for driving license. You can apply driving license without having a car but u can't drive without license.

Enterprise (ROB) and Sdn. Bhd (ROC) are different act. A company can only register to ROB or incorporate ROC only.So u can register a business as Hello World Enterprise and at the same time someone incorporate a company with Hello World Sdn. Bhd

hello all, after browsing a couple of threads relating to sdn bhd, i officially recognize this thread as the main one. i hope the mod could pin this or one such thread (if one would compile all information into a new thread). easier for everyone to read and eliminates multiple threads.

i am planning to start a sdn bhd. i have approached a company secretary (comsec) who quote me rm2.5k for incorporation and registering my company to SSM.

the annual fee :

Comsec fee rm840 (rm70x12). Paper work preparation for AGM and submitting to SSM will cost rm300. there's also another rm160 for which i forgot. so total is rm1,300 yearly.

Auditor's fee RM800 (depending revenue/assets/complication etc)

Tax agent fee RM800 (depending payable?/variables)


so im looking at close to rm3k to maintain my would be sdn bhd. now the question i'd like to know is that

1) is the rm3k a normal annual fee? is there a heavily discounted charge like instead of 3k, is rm2k? lol. how much is the cheapest that you guys can get? coz annual fee is occurrence fee, in long term can save alot.

2) i read that a sdn bhd needs auditors and tax agent aside from comsec. but i also read that an accountant friend could do the audit for you (could be misleading information) hence we don;t need to pay so much for the auditor's charge so much. how true is this?

3) after the auditor's report and we know how much tax we have to pay, can;t we just go to tax organization (IRB) and pay them? no need tax agent as middle man? (save rm800)

i'd like to thank you in advance and hopefully that my questions can also provide information to other would be owners of sdn bhds.

i am planning to start a sdn bhd. i have approached a company secretary (comsec) who quote me rm2.5k for incorporation and registering my company to SSM.

the annual fee :

Comsec fee rm840 (rm70x12). Paper work preparation for AGM and submitting to SSM will cost rm300. there's also another rm160 for which i forgot. so total is rm1,300 yearly.

Auditor's fee RM800 (depending revenue/assets/complication etc)

Tax agent fee RM800 (depending payable?/variables)
so im looking at close to rm3k to maintain my would be sdn bhd. now the question i'd like to know is that

1) is the rm3k a normal annual fee? is there a heavily discounted charge like instead of 3k, is rm2k? lol.  how much is the cheapest that you guys can get? coz annual fee is occurrence fee, in long term can save alot.

2) i read that a sdn bhd needs auditors and tax agent aside from comsec. but i also read that an accountant friend could do the audit for you (could be misleading information) hence we don;t need to pay so much for the auditor's charge so much. how true is this?

3) after the auditor's report and we know how much tax we have to pay, can;t we just go to tax organization (IRB) and pay them? no need tax agent as middle man? (save rm800)

i'd like to thank you in advance and hopefully that my questions can also provide information to other would be owners of sdn bhds.

1. Yes,around there. I'm paying more than you annually.

2. You either hire licensed auditor or free lance. But at the end of the day, those freelance need to look for license auditor to certify the documents hence you need to pay also.

3. Yes you can, but there are several documents involved. Do you know how to do it? Do you have the time to do it?

Conclusion, if you want to save pennies, better don't setup a SDN BHD. Taking care of SDN BHD needs money because you can't afford to make mistake in your accounting or else IRB will penalty you.

Let say i want to open a small retail biz( selling clothes) and i register an Enterprise under SSM. So my question is

1) After registration done, do i still need any other business license? From local council etc, for operating my business?
2) What about the tax for Enterprise, do i need to go through accountant for audit? Or i just submit like income tax?

yes you can place... but would ppl allow you to place/rent? because the legal entity is you, your standings arent worth a lot... unless you're a millionaire

there's risk and assets are involved... i would suggest a sdn bhd would be a better choice... example

you place the vending machine in klcc and due to negligence in servicing or whatever reason the machine blows up and the whole klcc burns down and collapse killing thousands of ppl...

if you're a sp or partnership, you will get sued... and you will go bankrupt.... forever paying the damages

if you're having a sdn bhd... the liability is is by the company... so max exposure is the worth of the shares max... you're safe, unless you did it on purpose knowingly

Can I confirm that we can go to Shah Alam to register new company? Because i check the wesite and it only mention new company registration is at The Mall or Putrajaya office. To register in Shah Alam, is it at Plaza Alam Sentral or Plaza Masalam? a few post earlier inthis thread, someone mentioned plaza alam sentral but 3 yrs ago my sis register her company at plaza Masalam. hi guys, i have a question. i have a company which is an Enterprise own by 3 people including me. if 1 of the partners wants to close down the company but me and another partner doesnt agrees. he cant close it without our signature on SSM form, correct?

iirc, u need >50% of shareholders to agree. so it depends on how much shareholding your partner has. must call EGM to file the motion for winding up.
