In terms of build quality, no major flaw except for the screen. Some may get sort of yellow hue on their screen but Sony rep promised to provide built in color balance in the next coming patch which will fix the yellow hue to certain degree. If still doubtful, just test it yourself on the spot.

It depends on personal preference. I had a choice between Note 3 and Z1 as well.
But I chose Z1 because : Design (glass is love) , better camera, shutter key, less people using it (hipster, I know

) , brand (was a big fan of Sony Ericsson and their PlayStation series) , simple UI, waterproof, dustproof, more "premium" feeling, and etc
I did not experience the yellow hue screen lottery. As for the software updates, it doesn't really bother me.
What I typed above is purely subjective, and your choice depends on your preference really. You should go test out both phones, run through the functions and you should be able to decide

Their internal parts seems badly holdup. I've seen the z1 drop test on youtube, 3 drop and not able to switch on.
Exterior seems great tho.

#1 I have that issue and it's becoming worse. Left and right side of the screen, I'm using SwiftKey and I usually hold Q for 0.2 seconds it to change to 1 but somehow it just keeps getting cut off. Very weird.
