INTRODUCTION

The Board of Directors of Compugates wishes to announce that the Company had on 29 June 2009, entered into a conditional Sale of Shares Agreement (“SSA”) with Mohamad Daud bin Mohd. Yusoff (“MD”) and Khairul Norazni bt Abdul Ghani (“KN”) (collectively referred to as the “Vendors”) to acquire 60% of the entire equity interest in Selama Muda Jaya Sdn Bhd (“SMJSB”) (Company No: 98819-H) comprising 30,000 issued and paid up ordinary shares of RM1.00 each (“Sale Shares”) for a total cash consideration of RM6,000,000 (“Proposed Acquisition”).

Further to Bursa Malaysia Securities Berhad’s letter dated 30th June 2009 in relation to the proposed acquisition of 30,000 ordinary shares of RM1.00 each, representing 60% of the entire equity interest in Selama Muda Jaya Sdn Bhd (“SMJSB”) for a total cash consideration of RM6,000,000 (“Proposed Acquisition”).

Append below is the information in respect of the aforesaid matter.

We refer to your Company's announcement dated 29 June 2009, in respect of the
aforesaid matter.

In this connection, kindly furnish Bursa Securities with the following
additional information for public release:-

1. Background information on KCH Mining Pollution Control Sdn Bhd ("KCH"), and
the name of its directors, major shareholders and their respective
shareholdings in KCH.
2. To quantify the market value of the land owned by SMJSB and the basis of
arriving at the market value.
3. Where valuation was carried out on the land owned by SMJSB, the name of the
independent valuer, date and method of valuation. To make the valuation report
available for inspection, if applicable.
4. Net profits and net assets of SMJSB based on its latest audited accounts.
5. Relevant information in item (1) and (4), Part C, Appendix 10A of the
Listing Requirements.
6. The time and place where the Sale of Shares Agreement may be inspected.

Please furnish Bursa Securities with your reply within one (1) market day from
the date hereof.

What is that mean..... ? Datuk Goh still the shareholder of compugt, he really only sell 28 mil?, or already sold all and not longer the shareholder of compugt ? I am quite confuse with the announcement.

- Distributorship Agreement Celcom Prepaid Mobile between Celcom Sdn Bhd and
Compugates Sdn Bhd dated 30 April 2007
Reference is made to the Distributorship Agreement Celcom Prepaid Mobile dated
30 April 2007 entered into between Celcom Mobile Sdn Bhd (Celcom) and
Compugates Sdn Bhd (CSB), a wholly-owned subsidiary of the Company, including
any supplemental and addendum executed thereof and the Extension Letter from
Celcom dated 29 April 2009 [collectively referred to as Agreement(s)], for CSB
to act as distributor for the sales of Celcoms products and services and the
use of Celcoms names, trademarks and literature.
The Board of Directors of Compugates (Board) wishes to announce that Celcom
had, on 14 July 2009, pursuant to terms of the Agreement(s), given a fourteen
(14) days written notice to CSB, to terminate the Agreement(s) with effect from
the said date thereof.
Based on the audited consolidated financial statements of Compugates as at 31
December 2008, the Compugates Group registered a revenue of RM686,974,000 of
which Celcom contributed RM305,512,000 (44.47%) with a net loss after taxation
of RM335,000.
CSB had on, 15 July 2009 written to Celcom to re-consider their decision to
terminate the Agreement(s). Due follow-up announcement will be made by the
Company on Celcoms reply to CBSs letter.
