The difference is that OEM license is only valid for the PC that it get installed on and the license are not transferrable, but Retail license can be transferred from one PC to another (provided that you didn't use it on more than one PC a a single time). Contents inside are same, but the price are different. Retail license cost more than OEM license, ranging from rm100-600 (or maybe more).
