out of the 3 models you mentioned, i would pick fx01, venus III NR is too aggressive in fx50/fx07, 850IS IQ is just equal to fx01, no reason pay for the extra.

for indoor no flash shoots, if its not too dark, you can get good sharp picture with fx01 in iso400 or 200 with shutter speed over 1/15s, you can get sharp picture easily with OIS up to 1/4s, but for baby picture anything slower than 1/15s would more likely get motion blur.

the best / most recommended cam for indoor lowlight no flash cam is Fuji Fxx series, go for F20, for outdoor good daylight the IQ is also very outstanding, very sharp and vivid, why you said it put you off? which part you are not happy.

Do setting the camera to 5MP instead of 7MP reduce noice on the pics ?
the answer is NO, MP helps when you wanna have bigger print, for small sensor in most PnS, bigger MP only deteriorate the IQ, not improve, 5MP is more than enuf for most ppl.

if 28mm is a must, then go for fx01, panasonic video quality is 100x better than fuji, with OIS the video is really nice, taking baby picture indoor without flash should be no problem, use the burst mode take 8 pictures in a row you will get good sharp picture easily, but taking active/running kids indoor is a bit hard with fx01 or 850IS, you need fuji high iso to freeze action in this case.

yes fuji's design is ugly and xd card is troublesome.

no the noise wont be reduce.

there is one long thread at dpreview forum, they were discussing this, correlation between MP and noise, i cant seem to find it now. will post when i find it.
