A merchant couldn't fulfill my order and recommend me to proceed with refund. Will gemfive charge me penalty?

I don't think so. Otherwise why then 11street keep reminding buyer to confirm that they have receive it. And I bought something recently, the seller ask me to confirm my order to 11street after I receive my item

Like i said, the website said they are gonna lunch a brand new interface, laying off staff does not mean closing down, it could be they are restructuring the whole department, maybe new management, etc.
