Neither, mATX isn't suitable for overclocking unless you're paying for a ROG board. But if you're going for a mild OC, I'll choose the Asus.

I don't think anyone can give specific directions on what your settings should be because there are variations from one CPU to another but something mild like 4.2GHz should not need more than 1.2V, stay closer to <1.15V if it is a Core i7 3770K. Assuming that your aim is 4.2GHz, the best possible way is to start from 1.2V and work your way down till it is unstable while running stability programs. Recommended to run Prime95, LinX, IBT and OCCT for at least several hours. Not a problem, keep the power saving features on as it will reduce the clockspeed according to your load.

It could but I don't see the need to upgrade if you're not going for a 4 core IB. The performance difference is very little and I'd only recommend getting it if you have interest in the better performing IGP.
