Mr Galaxy Nexus Toolkit will do the job

1) Download the Android 4.0.4 factory images to your PC.
2) Unzip the file and its contents into your SDK/Tools folder (wherever your adb.exe and fastboot.exe files are).
**Make sure they are not in their own folder, but have all been extracted to Tools**
3) From within your Tools folder, open a command prompt (SHIFT + right click – “open command prompt here”)
4) Type the following commands, allowing each to finish before moving onto the next:

6) It really is as simple as that. Your phone is now back to a 100% stock, unrooted and locked state.

Or use Galaxy Nexus Toolkit, place the img files into put_img_files_to_flash and then open your GNex tool kit, select your version select 12 and do as on the screen!

unlock is fastboot oem unlock
root is another method.

If you dunno use cmd, use galaxy nexus toolkit. Easier as you don't need adb to set up.
if you manually cmd, you need install adb.

BUT ITS BETTER TO INSTALL ADB! if you don't you are limited to fastboot uses when using toolkit.

Let me makes this straight, OTA updates are depends on which ROM you have.
If you have yakjuxw = Your OTA is from Samsung
If you have yakju = Your OTA is from Google
If you have custom = (Unless they implement OTA if not manually flash most of cases unless you talk about MIUI)
