Both of these definitely can be upgraded to 4.0 Motorola's camera used to be quite famous for being powerful. the S2's, is also the same. Its down to brand preference now actually. both are completely different devices. What exactly do you need? Note is big and while it can be fitted into a pocket, it's a rather tight fit. razr on the other hand is alright, but try to avoid motorola as future update support is rubbish (last time I checked)
Spend your money on a Galaxy S 2.

Yes the transformer prime will be priced at its predecessor's previous RRP which is 1499 and 1799 including dock if I'm not mistaken.
