relocating toilet upstairs in possible but some of these things have to be re-do again:

a) water proofing
b) sanitary piping
c) cold water supply piping

Try always have natural ventilation for toilet. When all else don't work, mechanical ventilation will be the last resort but not recommended as machine will still breakdown sooner or later. Beside fresh air is always the best way to ventilate the toilet.
