The retail one you can use it to install to other pc, but the old pc need to uninstall the Windows first...

Try use GPU-Z and log to file, then when it start lagging, check the log if its GPU clock being throttled or not...

@clockworked, doesn't seems like its GPU, the clocks is constant...
maybe CPU?

Try use throttlestop and log it, the CMOD% should be 100% all time, else means it being throttle...
