QUOTE(mopster @ Feb 4 2010, 07:23 PM)
KUALA LUMPUR (Dow Jones)--KNM Group Bhd. (7164.KU) said Thursday that it has received a buyout offer of 90 sen a share from a company controlled by its managing director and founding shareholder, Lee Swee Eng.

The offer is at a 20% premium to KNM shares' closing price of 75 sen.

The maker of process equipment for the oil and gas industry said in a stock exchange filing that BlueFire Capital Group Ltd., an entity controlled by Lee, plans to acquire KNM's entire business and undertakings.

KNM said the proposal is subject to "satisfactory completion of due diligence, receipt of firm financing commitments, and negotiation and execution of definitive documentation."

BlueFire has been granted a limited exclusivity period up to March 22 to complete its due diligence and satisfy the other conditions, the company said.

BlueFire is acting in collaboration with GS Capital Partners VI Fund L.P and Mettiz Capital Ltd. and the international adviser on the deal is Goldman Sachs (Singapore) Pte., KNM said

A good way for a CEO who thinks his stock is under-valued by the market to ramp it up a notch....
What will be interesting is to know what Mr. Lee and "Bidco" intend to use for money..... hmm.gif

Somehow I feel taking private KNM at 0.90 is cheap. Sigh.

I agree.

On reflection, this derisory offer from "Bidco" is an insult to the company's shareholders.
It grossly undervalues the fundamentals of a great company and clearly fails to offer full value to those loyal stake-holders who have devoted so much to the growth and success of KNM...... tongue.gif

<can we have 1.10 a share, please????> drool.gif

laugh.gif

RM1.25 would be good also...... brows.gif

Taking a company private enable the owner do whatever he wants without the need of approval from public shareholder.
Like Sarawak Energy... Now, the owner can do many "things" without the need to get approval from public.

Added on February 4, 2010, 9:22 pmI'm not sure why Adam Tai kor keep talk about this counter... Maybe he got insider news. brows.gif
Adam Tai Kor! Mind to share what you know about this counter? Or mainly based on TA analysis?

A touching faith in how much notice of their shareholders is taken by dilectors of Malaysian public companies.... laugh.gif

Maybe he wants to go ahead with the Chad deal - which most shareholders will have disapproved of - I think. hmm.gif

What's going on in the Club Med is very serious - I think we will see strikes and insurrections which will mean that governments simply won't be able to control these huge deficits. That's the problem. hmm.gif

How is your Sapcres going? I let go already. Think cannot tahan another 1 month for the Q report. Even Latexx reporting good profit also lao sai, I think market is very bearish.
*
I agree. I sold my SAPCRES today and had a general clear-out. Much better balanced portfolio now (I hope...)
Of course there will be days when certain counters rise but I also think the markets are turning very bearish.

This European problem isn't going to go away anytime soon - and there isn't a sticking plaster big enough to patch it....... hmm.gif

if there's a special divvy for GenM, I think we can roughly find out how much divvy base on GenM's closing price today. (just like what happened to CSC steel's price)
Now, maybe the people in the accounting side with their friends and relatives buying in.
Just a hunch, otherwise ignore.

I think the KENCANA deal goes like this:

Per 1000 shares you could subscribe to 400 rights and you'd then get 420 bonus shares. So your 1,000 shares would become 1,820. So at RM1.40 per share after RI and bonus shares the pre-rights pre-bonus price should be 2.55. (1.40 X 1.82)

Think that is right. hmm.gif
