I mean for investing companies, ie, Jp Morgan those kind of companies.
They dont seem to be involved with the ahem 'goreng goreng' things we do? Going in, and darting out for a quick profit?

How would the fund managers react then?

I think the question is, if the rumoured takeover price is higher than the current selling price, he could've waited for the offer.

He could even sell it to the market if the offer price announced is higher than now.

But he didn't and instead sell it all off now on the current market.

Conclusion?
*
he could have a contract clause that stipulates he has to sell off stake when he is asked to leave (terminate contract)

usually a company that offers to buy over will face a sell-down, because they need to raise money to execute the process. In order to raise money, it can be a form of loan from present MMC shareholders, thus the selling

Normally if the buy-over is a good thing the shares will go up. If it is bad, it'll go down.

Sorry, no green for DJIA, everything was priced in on Friday. Now time for the real economic data, existing home sales and RETAIL earnings for big retailers such as Tiffany, etc.

Yes, it would be bloody red tonight. Thank you Obama. smile.gif

Reasons on not wanting to go long:

a) Jobless claims will rise again

b) Retail earnings will be dismal

c) Big retailers will announce poor Black friday sales on next coming Monday

d) Existing home sales will dip further

e) GDP number will miss estimate.

Good or bad , especially during these times, where extending credit financing is cautious by banks, this sort of news usually get knee-jerk negative reaction by the shareholders of takeover company as they feel uncertain.

It seems possible that zelan ceo will need to sell of his shares at termination.

But I doubt that he'll announce or should announce the details of his employment contract right?

Note the part of "booked at market fair value" that'll explain him selling now, regardless of what.

If that's the case, then it's a good deal, as the bear market is gonna be worst before it gets better of the ceo to sell off..

"Increasingly, both types of awards have vesting schedules tied to performance rather than time, as more institutional investors are demanding that boards include pay-for-performance criteria in employment contracts. That is especially true for restricted stock, which must be booked at its fair market value and could turn out to be a drag on earnings if a company is struggling financially. When stock awards appear in contracts, however, candidates should insist that vesting periods and a net settlement clauses be included."
