there are a lots of guide for doing this in iPhone thread here.

btw 1st u need to trim the ringtone. trim it to a maximum of 30-40 seconds. u can do that using Nero Wave editor (if u have Nero Suite) of just using the Audacity.
convert it in iTunes to AAC format. preferably the 128kbps bitrate.
rename the song's extension from m4a to m4r.
drag it again to iTunes, and it will be categorised under ringtone.
transfer the ringtone to iPhone via Sync or manual transfer.

ok, if u find this guide is too long to follow, u can use the shareware like iPhone Ringtone Maker, iToner etc. etc. They do the job nicely, but with a price to pay la of course.
