Ringkasan Keputusan Utama
1. Perjanjian asal adalah “void / unenforceable”
Mahkamah mengesahkan bahawa perjanjian pinjaman itu tidak boleh dikuatkuasakan di bawah Moneylenders Act 1951 kerana:
• pinjaman disediakan dalam bentuk unsecured sedangkan sepatutnya secured
• kadar faedah digunakan 18% walaupun had bagi pinjaman bercagar ialah 12%
• kegagalan mematuhi syarat dokumentasi yang ditetapkan oleh undang-undang
2. Namun perjanjian tersebut tidak dianggap “illegal”
Mahkamah memutuskan bahawa perjanjian itu tidak jatuh dalam kategori “illegal agreement” di bawah MLA 1951 atau Seksyen 24 Contracts Act 1950 kerana:
• pemberi pinjam adalah berlesen
• kadar faedah tidak melampaui batas dan tidak menindas
• tujuan pinjaman tidak bercanggah dengan undang-undang atau dasar awam
3. Lender dibenarkan menuntut balik sejumlah modal
Walaupun perjanjian itu “void”, Golden Wheel dibenarkan menuntut semula baki wang pokok sebanyak RM3,383,500.00 melalui prinsip restitution / unjust enrichment kerana:
• peminjam telah menerima dan menggunakan wang tersebut
• tidak wajar penerima mengekalkan manfaat kewangan tanpa membayar semula apa yang telah digunakan
