KPJ Healthcare sues former top guns, seeking close to RM96m

KPJ Healthcare Bhd and a subsidiary have initiated a civil suit against 11 former directors, seeking relief close to RM96 million, in relation to a sale of one of its units in 2018.
In an exchange filing today, KPJ Healthcare said the company and its wholly-owned subsidiary Kumpulan Perubatan (Johor) Sdn Bhd (KPJSB) today (Jan 19) commenced and filed a writ action at the High Court of Malaya at Kuala Lumpur against the former members of the board of KPJ Group.
They included key past KPJ Healthcare leaders Datuk Kamaruzzaman Abu Kassim, Datuk Amiruddin Abdul Satar and Tan Sri Siti Sa’diah Sh Bakir.
Kamaruzzaman was the former president/CEO of Johor Corporation (JCorp) who in 2022 was charged in the Sessions Court in Johor Bahru with deceiving the JCorp board into investing USS$2.25 million (RM9.46 million) in two companies three years earlier.
JCorp is KPJ Healthcare’s major shareholder.
Amiruddin, who’s last position at KPJ Healthcare was that of the president/MD, has been the director general of Federal Land Development Authority (Felda) since October 2020. He is also a non-independent non-executive director at FGV Holdings.
Siti Sa’diah, who is currently the non-executive chairman at Duopharma Biotech Bhd, had served in various capacities at KPJ Healthcare, including as its MD.
The others named in the suit were Datuk Azzat Kamaludin, Datuk Dr Zaki Morad Mohamad Zaher, Zainah Mustafa, Dr Kok Chin Leong, Zulkifli Ibrahim, Aminudin Dawam and Jasimah Hassan.
In an exchange filing on Jan 19, it said the suit concerned the alleged breach of fiduciary and/or statutory duties owed to KPJ Group and failure to exercise reasonable care and diligence in connection with the sale of
49% shares of
KPJSB’s subsidiary, Lablink (M) Sdn Bhd by KPJSB to
KL Kappa Sdn Bhd in 2018.
Why never hold EGM??????.
They are seeking the former board members to pay a sum between RM68.69 million to RM73.59 million for loss suffered by KPJSB and a further amount of between RM17.28 million to RM22.18 million.

Former JCorp president charged with deceiving JCorp board

JOHOR BAHRU – Former Johor Corporation (JCorp) president and chief executive Datuk Kamaruzzaman Abu Kassim was charged in the Sessions Court here with deceiving the JCorp board into investing USS$2.25 million (RM9.46 million) in two companies three years ago.
Kamaruzzaman, 58, however, pleaded not guilty to the charge before judge Wan Mohd Norisham Wan Yaakob.
He was charged, in his capacity as JCorp president and chief executive, to have cheated and dishonestly induced the company’s board members into agreeing to invest US$5 million,
with US$1 million in World Logistic Council Ltd and US$1.25 million in World Logistic Council Americas LLC, which the board would not have agreed to it if he had informed them on the position of the two companies which were no longer incapable of continuing their operations.
Kamaruzzaman was alleged to have committed the offence between 9.30 am and 1.45 pm at the meeting room of the JCorp Board, Level 25, Menara Komtar here on July 8, 2019.
The charge was framed under Section 420 of the Penal Code, which provides an imprisonment for up to 10 years and with whipping and shall also be liable to fine, if ound guilty.
Kamaruzzaman was allowed bail of RM150,000 with one surety and also ordered to surrender his passport to the court before April 23 after his return from performing the umrah.
Judge Wan Mohd Norisham, in allowing the request by lawyer K. Ragunath, representing Kamaruzzaman, also ordered the accused to report himself at the nearest Malaysian Anti-Corruption Commission (MACC) office and to not intimidate witnesses in the case, as requested by the prosecution, represented by deputy public prosecutor Zander Lim Wai Keong, from the MACC.
The judge also set April 25 for mention.
Kamaruzzaman was president and chief executive of JCorp from December 2010 before retiring on Dec 12, 2019.
