Conti buys 100% control of Malaysian tyre business


KUALA LUMPUR (May 14, 2012) — Continental A.G. has acquired the outstanding 30 percent of the shares of its Continental Sime Tyre Sdn. Bhd. venture in Malaysia from its joint venture partner

Sime Darby Allied Products Berhad.




Financial terms of the deal were not disclosed. Continental paid $31 million in 2003 for a 30-percent in the Sime Darby unit, then increased its share to 51 percent in 2004 and then to 70 percent in 2006 for undisclosed sums.

Continental will rename the venture Continental Tyre Malaysia Sdn. Bhd. Conti said the transaction underlines the long term interest and the commitment of Continental to the Asia Pacific Region.

Continental operates two tire plants in Malaysia in Petaling Jaya, for truck and bus radaisls, and agricultural, industrial and OTR tires, and Alor Satar, for passenger and light truck radials and motorcycle tires, along with a technology center at the Petaling Jaya factory.

The company has 2,500 employees and operates the largest tire dealer distribution network in Malaysia, including more than 1,200 outlets.

For normal use Goodyear and Conti ok la. but I heard CC5/CC6 not as good as XM2 from tayar shop.

Sale of Silverstone could lift LFIB’s cash to over RM800m

KUALA LUMPUR: Tycoon Tan Sri William Cheng is selling local tyre business, Silverstone Bhd, to Toyo Tire & Rubber Co Ltd, Japan’s fourth largest tyre manufacturer, for RM462 million.


The Japanese tyre maker will buy over a 100% equity stake in Silverstone Bhd. Lion Forest Industries Bhd (LFIB) owns an 84.16% stake in Silverstone.

The deal values Silverstone at 1.62 times its consolidated net assets of RM285.67 million as at June 30, and 13.76 times its net profit of RM33.57 million. It is learned that Silverstone has minimal borrowings of about RM20 million.



The proposed divestment is expected to boost LFIB’s cash pile to RM869.4 million, or RM3.77 gross cash per share. LFIB’s share price closed one sen lower at RM2.09 yesterday, which gave the company a market value of RM483.98 million. Its net asset per share was RM4.68 as at June 30. LFIB was holding RM407.38 million in cash as at June 30, against total borrowings of RM36.58 million.


Nonetheless, a portion of its current cash pile is being held in an escrow account as a contingency fund for the claims sought in several legal suits filed over the timber concession it held previously in Sabah.


For LFIB, the proposed deal is expected to result in an estimated gain of about RM140 million for FY2011 ending June 30, which translates to an increase in earnings per share of about 60 sen, the company said in an announcement to Bursa Malaysia yesterday.
“The Silverstone deal is Toyo Tire’s first ever cross-border acquisition. The timing was right for the company to expand its reach with the strengthening of the yen,” said a source close to the deal.



Currently, Toyo Tire is working on the third phase of expansion of its manufacturing facility in North America and has commenced construction of a tyre manufacturing plant in China.



“Through the acquisition of Silverstone, the company is now positioned to make a full scale entry into the fast-growing Southeast Asia market,” said Toyo Tire in a statement issued yesterday.
It is learnt that Toyo Tire had negotiated with the Lion group for a few weeks before a deal was made. Nomura is the sole financial adviser to Toyo Tire in the deal.



In its statement, Toyo Tire adds that it plans to commence production of Toyo and Nitto brand tyres at Silverstone’s facility in Malaysia, while building an export distribution network centred on Asia. It also has plans to “further improve the quality of the Silverstone brand tyre, with the goal of expanding sales throughout Asia”.


With FY2010 revenue of RM433.49 million, Silverstone commands a 17% share of the overall tyre market in Malaysia. Eighty per cent of its sales were from the domestic

market with the remaining 20% from exports, an area in Silverstone which Toyo Tire is looking at strengthening, said a source.
On the use of the “Silverstone” brand by LFIB’s tyre manufacturing operations in China, the source says Toyo Tire would work out a separate arrangement with LFIB on the matter. LFIB’s tyre operation in China is held under a different subsidiary,

Shandong Silverstone LuHe Rubber & Tyre Co Ltd. The China business is not a part of Silverstone that is being sold to Toyo Tire.
Both LFIB and Toyo Tire expect the Silverstone deal to be completed by the end of January next year.



Following the disposal of Silverstone, LFIB will be left with its tyre manufacturing operations in China, trading and distribution of building materials such as steel bars, cement, roofing and wall tiles, and distribution of petroleum-based products and automotive components.
LFIB posted a net profit of RM163.75 million or 65.38 sen a share for FY2010, on revenue of RM873.62 million.

The fourth-largest volume of rubber is manufactured in India. It was first established in the Malabar and Travancore areas in 1880; the commercial gardens began in 1902. Kerala is India’s most important and largest rubber producing state with 92% of the total area of the country.
Other cultivated areas include Tamil Nadu, Nicobar Islands, Karnataka, and Assam. India produces 803,000 metric tonnes of rubber annually and cultivates 450,000 acres of land, its tropical southern climate is best for growing rubber plants.

Vietnam rubber production ranking is fifth in the world. Where the area around Ho Chi Minh City is very important for the country’s rubber cultivation. Rubber is one of Vietnam’s largest and most important exports to international markets. Vietnam produces 550,000 metric tons of rubber annually and has the potential to plant 512,000 hectares.
