I've been comparing both cameras as well. After seeing many sample shots from both cameras, I notice F40fd has much more Super CCD noise artifacts even at ISO100. So, in terms of ISO/noise performance, F31fd wins.

But F40fd has less purple fringing problem. Outdoor shots also has less blown hightlights. Colours outdoor also look a bit better than F31fd. F40fd can use face detection in 'M' mode but F31fd cannot.

F40fd don't have AP/SP function and can only take 300 shots per charge. F31fd can take up to 580 shots per charge!

F40fd is slimmer and has wider viewing angle LCD.

So it's up to your taste. For me, i would go for F31fd because i'm 'allergic' to picture noise.
