 How to re-encode a Divx movie with AC3 sound?

i have an avi movie file with mp3 codec..
the sound was ok when i tried playing it on my pc..
but when i tried to play on standalone divx player..the sound turned out to be too soft...even when incresing the tv volume..so what software 2 use to reencode it?

normalize your MP3 or use gain on it
No need to convert to AC3 as it increases the bitrate only, quality not much difference, maybe worse
