Description SERBA DINAMIK HOLDINGS BERHAD ("SDHB" OR "COMPANY")
PROPOSED PRIVATE PLACEMENT
The terms used herein shall have the same meaning as those defined in the
announcement dated 8 December 2020, unless otherwise stated.

We refer to the announcement dated 8 December 2020, 9 December 2020 and 17
December 2020 in relation to the Proposed Private Placement.

On behalf of the Board, Affin Hwang IB wishes to announce that the
book-building exercise in relation to the Proposed Private Placement has been
completed on 21 January 2021 by Affin Hwang IB, Credit Suisse Securities
(Malaysia) Sdn Bhd, Credit Suisse Securities (Singapore) Limited and RHB
Investment Bank Berhad. SDHB will be issuing up to 336,830,000 new SDHB
Shares, representing approximately 10% of the existing total number of issued
shares in SDHB (excluding treasury shares) as at 21 January 2021. The Proposed
Private Placement attracted demand from both local and foreign institutional
investors, with the order book being oversubscribed by approximately 1.85
times of the total number of new SDHB Shares available for subscription under
the Proposed Private Placement.

After the market closed on 21 January 2021, the issue price for the Placement
Shares was fixed at RM1.51 per Placement Share (“Issue Price”),
representing a discount of approximately 8.1% to the 5-day volume weighted
average market price of SDHB Shares up to and including 21 January 2021 of
RM1.6438. Accordingly, the Proposed Private Placement is expected to raise
gross proceeds amounting to approximately RM508.61 million, including the
Proposed Placement to Dato’ Karim described below.

Pursuant to the Proposed Placement to Dato’ Karim which is part of the
Proposed Private Placement, SDHB will be issuing 56,292,000 Placement Shares,
representing approximately 1.7% of the existing total number of issued shares
in SDHB (excluding treasury shares) as at 21 January 2021, to Dato’ Karim at
the Issue Price. The Proposed Placement to Dato’ Karim is expected to raise
gross proceeds amounting to approximately RM85.00 million.

Any final allocation of Placement Shares to investors under the Proposed
Private Placement is subject to the review and approval of Bursa Securities
which will occur subsequent to the date hereof and the final number of
Placement Shares to be issued and allotted under the Proposed Private
Placement shall be determined thereafter accordingly.
