42.47% of Genting is owned by Kien Huat International Ltd. which is controlled by Lim family.
It can be said that the Lim family has de facto control since all the other shares are owned by thousands of other unrelated investors and none individually holds >2% except Great Eastern Life who holds 3%.
With control, they can do whatever they want (e.g. pay high salary etc) except if an EGM is required.
Most family owned businesses in Malaysia are controlled >51%.
Control is very important. If lose control, directors can be kicked out.
This is why when penny stocks fell as low as RM0.01, in theory someone can raid the company by buying up the shares and kick the directors if they accumulate >51%.
The directors will usually defend the company by performing corporate buybacks to prevent the share price from dropping too low.
However, this requires money. Most penny stocks have fictitious assets or no cash.
So what's the next best alternative to prevent a takeover?
Issuing bullshit ESOS to the staff/directors so they get additional shares at no expense.
That's why you see many penny stocks giving warrants and ESOS.
Companies like Apple is very successful. Why? Because no hanky panky business practices by families to enrich themselves.
Not a single shareholder owns >1% of Apple. The largest shareholder owns only 0.03%.
The purpose of the company is to make profit. If directors cannot perform, they get kicked.
Compare this to Genting. If Genting performance sucks, management just goyang kaki and get paid salary anyway.
Since they have control, their salaries will be approved at the AGM.
