HEADS OF AGREEMENT (“HOA”) BETWEEN MQ AND CASH SUPPORT SDN BHD (“CSSB”)

Star Acres Sdn Bhd (“Star Acres”),
a newly acquired wholly-owned subsidiary of MQ, as the entity to form a joint venture with CSSB
(“Proposed Joint Venture”) to acquire from CSSB a fifty (50)-year registered lease under the National
Land Code 1965 over a portion of land measuring approximately 10.727 acres (to exclude the
portion of land with completed shop building erected thereon of which the size of the area is to be
determined later) in Malacca (“Project Land”) (“Proposed Lease Acquisition”) (the Proposed Joint
Venture and Proposed Lease Acquisition are collectively referred as the “Proposals”)

Thereafter and subject to the necessary approvals, conditions and directives of the relevant authorities
being obtained, Star Acres will carry out the proposed development of the Project Land as a theme park
(“Proposed Development”).

CSSB is the beneficial owner and absolute unencumbered legal holder of the right to alienation
and registration of four (4) parcels of land measuring approximately 197 acres in area located in
Klebang Town, District of Central Malacca, Malacca, which the State Government of Malacca
has agreed to alienate and approved for alienation in favour of CSSB (“Master Land”).

Revaluation of land and building
MQ had recently revalued the land and building held by Microlead Precision Technology Sdn Bhd, a wholly-owned subsidiary of MQ.
The Board had at its meeting held on 26 November 2014 approved the valuation reports and the incorporation of the revaluation surplus arising .
The revaluation exercise was undertaken to ascertain and reflect the fair value of the land and building
held in the financial statements for the financial year ending 31 December 2014
Effect on net assets per share
The revaluation resulted in a surplus of RM5,635,347.
