This position supports the New Equipment and Services client facing teams in negotiating acceptable terms and
conditions for supply contracts by providing subject matter expertise in the legal and contracts areas. The position
also supports Supply Chain Management when negotiating purchase contracts. The fundamental objective in all
cases is to reduce risk to the enterprise.


PRINCIPAL RESPONSIBILITIES:

• Guided by the principles behind the company’s standard terms and conditions, reviews client (supplier) contract language and develops the necessary revisions to make them acceptable. These may concern a single transaction, or form the basis for a frame agreement / long term supply agreement.
• Clarifies the meaning and risk of (supplier) contract language to the client facing team (SCM) to prepare them for negotiations.
• When necessary, participates in face-to-face negotiations with the client (supplier) in support of the order capture team (SCM).
• Serves as a business partner in the order capture process — the objective is to win the business on the most favorable terms possible.
• Reviews contract language for orders received, and verifies that deviations from company norms have been properly reflected in the RAM document circulated to company management for order approval.
• Prepares monthly activity reports for management

SCOPE & DIMENSIONS:

• This is an individual contributor position. Initially there will be one in Asia Pacific region, but growth projections indicate a need for 2 more within 3 years.
• Individual contracts are typically within the range of $50 thousand to $10 million in value, although smaller and larger contracts are not unusual.
• Poorly crafted contracts can expose the company to many millions of dollars of risk and damages.


FORMAL EDUCATION REQUIREMENT or MIN YEARS of EXPERIENCE NECESSARY:

• A law degree is mandatory. Legal training (paralegal or contracts administration course work) is required.
• Additional qualification in Business will be an added advantage.
• A minimum of 5 years of post graduation work experience is required, of which at least 3 years must have been in the areas of contract drafting, reviewing, negotiation, contract administration, etc.
• Facility with MS Office programs, particularly Outlook and Word, is required. Skill with PowerPoint and Excel will be an advantage.
• Fluent spoken and written English is required. Ability to revise client’s contract language to incorporate D-R standard with minimal tweaking is mandatory. Facility in other languages of the region, particularly Mandarin and Bahasa Malaysia or Indonesia, would be an advantage.
