tune down the fan if your MB has the smart CPU fan thing. so the fan speed will differ according to temp.

Its to tune down your CPU speed and vcore ( along with power consumption) when idle. hence the temperature will be lower when idle
plus not all PhenomII fan is noisy, only the x4/ x6 back edition stock cooler .

You are right.
Cool n Quiet in AMD processors is not a fan feature but a power saving one during periods of inactivity (idling).
What I observed with my Athlon64 X2 4800+ is that the VCore will drop from 1.30V to 1.10V and the FSB multiplier
will drop from 12x to 5x (from 2.4GHz to 1Ghz with FSB at default 200).
The core temperatures will also drop from 34 degrees Celsius without Cool n Quiet to 30 degrees Celsius.
However, the CPU fan speed remains unchanged at 2430 rpm.
The moment there is system activity, the processor immediately 'wakes up' and performs at its rated speed and power rating.
