MEMBERS' VOLUNTARY WINDING-UP OF SYDNEY THEME PARK PTY LIMITED, A SUBSIDIARY OF SUNWAY
We wish to announce that the sole member of Sydney Theme Park Pty Limited (“STP”), a subsidiary of Sunway, has on 19 November 2013 passed a resolution for the voluntary winding-up of STP as it had been dormant.

STP was incorporated on 2 April 1984 in Australia with a paid-up share capital of AUD101/-. The principal activity of STP was the holder of the theme park license and it had ceased operation since the closure of the Wonderland theme park in April 2004.

STP has appointed David Clement Pratt and Ian Robert England of PricewaterhouseCoopers of 201 Sussex Street, Sydney NSW 2000 as the liquidators for purpose of the members' voluntary winding-up.

Other than the liquidation expenses, there are no material losses or effects on the net assets per share and earnings per share of Sunway Group arising from the liquidation.

We wish to announce that pursuant to Chapter 9, Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, Sunway City Sdn Bhd, a wholly-owned subsidiary of Sunway has on 22 November 2013, acquired two (2) ordinary shares of RM1/- each, representing 100% of the total issued and paid-up share capital of Winning Desire Sdn Bhd (“WDSB") for a total consideration of RM2/-.
WDSB was incorporated on 11 October 2013 and its authorised and paid-up share capital are RM100,000/- and RM2/- respectively. WDSB is presently dormant and its intended principal activity is provision of management services.

None of the directors or substantial shareholders of Sunway or persons connected with them has any interest, whether direct or indirect in the aforesaid acquisition.
